CEO Search Advisor
reputed company is seeking an Independent CEO Search Governance and Transition Advisor to support the Board of Directors and CEO Search Committee during a CEO search and leadership transition. reputed company consultant will provide independent governance oversight to help ensure a fair, confidential, and well-structured search process. reputed company is not a recruiting role. The executive search firm will manage candidate recruitment and assessment, while reputed company advisor will establish and monitor the governance framework surrounding the search. Experience in the nonprofit industry is required. reputed company role is a part-time consulting role expected to be about 8 hours a week of commitment. reputed company role can be fully remote.
Key Responsibilities
- Develop the governance structure for the CEO search, including reputed company documents, decision-rights, confidentiality, conflict-of-interest, recusal, and communication protocols
- Clarify roles of the Board, Search Committee, CEO, COO, Corporate Secretary, and search firm
- Advise the Search Committee on governance risks, Board independence, and process integrity
- Establish clear boundaries for the Corporate Secretary’s role in supporting the search
- Create a fair and consistent protocol for evaluating the internal candidate alongside external candidates
- Coordinate with the executive search firm to ensure alignment with the Board-approved governance framework
- Support documentation of key decisions, recusals, and process milestones
- Facilitate sensitive governance discussions and escalate reputed company concerns when appropriate
- Strong expertise in nonprofit governance and Board processes
- Experience advising boards through CEO or reputed company transitions
- Ability to identify and manage conflicts of interest and sensitive governance issues
- Excellent judgment, discretion, diplomacy, and executive communication skills
- Experience creating governance frameworks, protocols, and decision-making processes
